Agreement

By accessing sertexity.biz or using the Sertexity platform ("Service"), you agree to these Terms of Use ("Terms"). If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

About Sertexity

Sertexity, Inc. provides cloud-based software for document management, team workflows, e-signatures, and compliance task tracking. Sertexity is a subscription SaaS product. We are not a bank, broker-dealer, investment adviser, money transmitter, or cryptocurrency platform. We do not custody digital assets or offer investment returns.

Account registration

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. Notify us immediately at support@sertexity.biz if you suspect unauthorized access.

Subscription and billing

Paid plans are billed monthly or annually in U.S. dollars unless otherwise agreed in writing.
A 14-day free trial is available on eligible plans. Pricing is displayed before checkout.
Subscriptions renew automatically unless cancelled before the renewal date.
You may cancel at any time from your account settings. Access continues through the end of the paid period.
Refunds: If you are unsatisfied within 30 days of your first paid charge, contact billing@sertexity.biz. Refunds are granted at our discretion for first-time subscribers.
We may change pricing with at least 30 days' notice before your next renewal.

Acceptable use

You agree not to:

Use the Service for unlawful, fraudulent, or deceptive purposes
Upload malware, spam, or content that infringes third-party rights
Attempt to gain unauthorized access to systems or other users' data
Resell or sublicense the Service without written permission
Use the Service to promote investment schemes, cryptocurrency trading, or unlicensed financial products
Reverse engineer or scrape the Service except as permitted by law

Your content

You retain ownership of documents and data you upload. You grant Sertexity a limited license to host, process, and display your content solely to provide the Service. You are responsible for ensuring you have rights to upload and share content within your workspace.

Intellectual property

Sertexity and its logos, software, and documentation are owned by Sertexity, Inc. or its licensors. These Terms do not grant you any rights to our trademarks or proprietary technology except the limited right to use the Service as described herein.

Service availability

We strive for high availability but do not guarantee uninterrupted access. We may perform maintenance, update features, or suspend access for security or legal reasons with reasonable notice where practicable.

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SERTEXITY DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERTEXITY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SERTEXITY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Sertexity from claims arising from your use of the Service, your content, or your violation of these Terms.

Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction therein.

Changes to these Terms

We may update these Terms from time to time. Continued use after the effective date of revised Terms constitutes acceptance. Material changes will be communicated via email or in-app notice.
